1. About these terms
These terms apply when a business subscribes to Selenic Orders, the sales catalogue and ordering app for Android tablets (the "App"). They sit alongside our general Terms of Use and our privacy policy for the App; where they differ, these terms apply to your subscription.
Subscriptions are for businesses only. By subscribing you confirm that you are acting for a business and have authority to agree to these terms on its behalf.
2. Who we are
Selenic Systems Ltd, a company registered in England and Wales (company number 17312090), registered office Unit A, 82 James Carter Road, Mildenhall, Suffolk, IP28 7DE. Contact us at support@selenicsystems.com.
3. Your subscription
A subscription is priced per tablet and billed monthly or yearly, at the price shown when you subscribe. It gives you one licence key for your business, which may be used on up to the number of tablets you have paid for. The App itself is free to download from Google Play; the subscription is what allows it to take and send orders with your own data.
4. Payment and renewal
You pay in advance for each period. Your subscription renews automatically at the end of each period, and the payment method on file is charged for the next one, until you cancel. Payments are processed by Stripe; we do not see or store your card or bank details. You can pay by card, and switch to Bacs Direct Debit for renewals if you have a UK bank account.
Payment is due on the first day of each period. If a payment fails, we and Stripe will tell you and try again. If it is not received, your tablets may stop taking new orders until it is (section 8).
5. Changing the number of tablets
You can add tablets at any time from your account. Added tablets are charged straight away for the rest of the current period, and can be used once that payment has gone through. You can also reduce the number; we will email you before the reduction takes effect, and amounts already paid for the current period are not refunded.
6. Price changes
We may change the price of a subscription. We will email you at least 30 days before a new price applies to you, and it will apply from your next renewal after that notice. If you do not want to continue at the new price, you can cancel before then.
7. Cancellation and refunds
You can cancel at any time from your account. Cancellation takes effect at the end of the period you have paid for, and your tablets keep working until then. We do not refund part of a period, except where the law requires us to.
We may end or suspend a subscription if it is not paid, or if these terms are seriously broken, for example by sharing the licence key outside your business or trying to get round the tablet limit. Where we can, we will tell you first and give you a chance to put it right.
8. The licence and your tablets
Each tablet using your key checks in with our licence service from time to time to confirm its place. A tablet can work offline for up to 30 days between check-ins, but never beyond the period you have paid for. When a subscription ends or a payment is not received, your tablets may stop taking new orders. Nothing on the tablet is deleted, and orders already taken can still be sent.
Your admin can see and remove the tablets using your key in the App, under Settings › Licence. A tablet that has not checked in for 44 days gives up its place automatically.
You may use the App for your own business. You may not copy, resell, reverse engineer or modify it, or attempt to get round the licence, except as the law allows.
9. Your data
Your catalogue, customers and orders stay on your tablets and in your own systems; they are never sent to us. We hold only what we need to run your subscription: your business and contact details, your licence key, and an identifier and name for each tablet using it. The privacy policy explains this in full.
10. Support and setup
Support is by email, and we will respond as soon as we reasonably can. Connecting the App to your ERP or accounts system is done by you, using our documentation and sample files. If you would like us to do it for you, that is a separate paid service agreed in writing.
11. Changes to the App
We update the App through Google Play and may change, add or remove features. We will not make a change that removes the App's core ordering features during a period you have paid for. We aim to keep the licence service available, but cannot guarantee it; if it cannot be reached, tablets carry on working until their next check-in is due (section 8).
12. Our liability
We are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability to you under or in connection with your subscription is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
13. Changes to these terms
We may update these terms. We will email you about any change that affects your subscription at least 30 days before it applies to you.
14. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
